Securities

Capital markets in Japan are governed chiefly by the Financial Instruments and Exchange Act (FIEA). The purpose of the FIEA is to ensure the soundness of capital markets and protect investors. To this end, the FIEA and related Cabinet Orders impose disclosure regulations, business operator regulations (registration requirements, etc. and conduct rules), and regulations on unfair trade practices, etc. These regimes are technical and complex, and frequently revised in response to changes in socio-economic conditions. In interpreting and applying financial laws and regulations, it is necessary to employ a comprehensive approach that takes account of the supervision guidelines of the Financial Services Agency, and the rules of the Japan Securities Dealers Association.
