Manufacturer Transactions
Our firm represents Japan’s leading manufacturers, as well as a number of overseas firms active in Japan. We help our clients to navigate the variety of legal issues that arise at each stage in the process of getting a product to market, from product development, acceptance of orders, and procurement of materials and parts, to manufacturing and delivery, through to customer care. While the transaction flows and expected legal hurdles, etc., will differ for different products, there are also certain ‘issues in common’ that will arise in many cases, even where the products are completely different. Product Liability
Product safety issues have the potential to expose manufacturers to liability under not only the Product Liability Act, but also contract and general tort law and may lead to expensive product recalls, and criminal penalties. Where an incident occurs, it is crucial to obtain swift and accurate legal advice that takes proper account of the risks specific to the case. It is, moreover, incumbent on manufacturers to act ahead of time to implement effective prevention measures.
Subcontracting
The Subcontract Act is a law established to specifically address relations between contractors and subcontractors, aiming to prevent delays in payment of fees to subcontractors. While the Subcontract Act technically forms part of Japan’s competition law, it has come to hold everyday importance in the context of manufacturer transactions, and it is now an area of general business law.
